5.2.1 the accuracy, quality and lawfulness of (the collection and transfer of) the Personal Data;
5.2.2 compliance with all transparency and lawfulness requirements under the Privacy Legislation for the collection and processing of the Personal Data and the transfer thereof to ResultX; and,
5.2.3 ensuring that its instructions (cf. Annex I) comply with the Privacy Legislation.
5.3 The Customer shall notify ResultX without undue delay if it is unable to comply with its responsibilities under this Article or under the Privacy Legislation.
6 SECURITY OF THE PROCESSING
6.1 ResultX takes the security of the Processing activities very seriously. ResultX shall implement at least the technical and organisational measures specified in Annex II in order to ensure the security of the Personal Data. This includes the protection of the data against a breach of security leading to accidental or unlawful destruction, loss, alteration, unauthorised disclosure of, or access to, the data (Personal Data Breach). In determining the appropriate level of security, ResultX and the Customer take into account the state of the art, the costs of Consultancy, the nature, scope, context and purposes of the Processing and the risks to the Data Subjects.
7 SUBPROCESSORS
7.1 Approval of the list of Subprocessors:
7.1.1 The Customer acknowledges and agrees that ResultX may engage Subprocessors in connection with the provision of the Service (and the performance of the Agreement). 7.1.2 ResultX has currently appointed as Subprocessors its Affiliates and other third parties as listed in Annex III.
7.1.3 ResultX is liable for the acts and omissions of its Subprocessors to the same extent as if it were performing the Service/the Processing of the Personal Data itself, directly under the terms of this DPP.

- update the list whenever a Subprocessor changes (for example when a new Subprocessor is added, a Subprocessor is replaced, etc.);

If the Customer does not object within the aforementioned period, it shall be deemed to have waived its right to object and to have authorised ResultX to engage the new Subprocessor.
7.3.2 If the aforementioned objection is not found by ResultX to be unreasonable, the parties shall discuss the Customer’s concerns with a view to reaching a reasonable solution. Such a solution may, at the discretion of ResultX, consist of: (i) making available to the Customer a change in the Service; or (ii) recommending a commercially reasonable change in the Customer’s use of the Service in order to avoid the Processing of the Personal Data by the contested new Subprocessor without unreasonably burdening the Customer.
7.3.3 If, however, the parties are unable to reach a solution within a reasonable period (which may not exceed thirty (30) days after the Customer’s objection), the Customer may terminate the Service (in whole or in part) if:
- the Service/the Platform cannot be used by the Customer without having recourse to the contested new Subprocessor; or,
- such termination relates exclusively to that part of the Service which cannot be provided by ResultX without having recourse to the contested new Subprocessor;
and this by giving written notice to ResultX (cf. Article 15) within a reasonable period.

In particular, any transfer of Personal Data outside the EEA by ResultX to a third party whose domicile or registered office is located in a country for which no adequacy decision of the European Commission applies shall be subject to one or more of the following safeguards approved by the EU:
- Adequacy decision of the European Commission;

Before the transfer takes place, the recipient of the Personal Data/Subprocessor of ResultX in the third country must guarantee to ResultX that an adequate level of privacy compliance is ensured in that third country;
- binding corporate rules: As is the case for standard contractual clauses, the recipient of Personal Data/Subprocessor of ResultX in the third country must guarantee to ResultX that an adequate level of privacy compliance is ensured in that third country; and/or,
- certification mechanisms.
8.3 If the transfer (or disclosure) of Personal Data to a third country is required pursuant to EU law, the law of an EU Member State or the law of the United Kingdom to which ResultX is subject, ResultX shall inform the Customer of that legal obligation before the transfer/disclosure, unless that legislation prohibits such communication on important grounds of public interest.
9 CONFIDENTIALITY
9.1 ResultX shall treat the Personal Data confidentially and shall therefore not disclose or transfer any Personal Data to third parties without the prior consent of the Customer, unless such disclosure and/or communication is required by law or by a judicial or other governmental decision (of whatever nature). In that case, ResultX shall, prior to any disclosure and/or communication, inform you with full transparency about the scope and manner thereof.
9.2 ResultX shall ensure that its personnel involved in the performance of the Agreement are informed of the confidential nature of the Personal Data, have received appropriate training on their responsibilities and have signed a written confidentiality undertaking. ResultX shall ensure that such confidentiality obligations survive the termination of the employment.

ResultX shall not respond to such a request from a Data Subject without the prior written consent of the Customer, except to confirm that the request relates to the Customer, to which the Customer hereby consents.
10.3.2 If a Data Subject requests to exercise his/her rights, it is the responsibility of the Customer to support the Data Subject in his request. Only if the Customer is unable to correct, amend, block or delete the Personal Data (as required by the Privacy Legislation) shall ResultX assist the Customer (insofar as this is commercially reasonable).
10.3.3 Notwithstanding the foregoing, the Customer remains responsible for compliance with such requests from Data Subjects.
10.4 Data Protection Impact Assessment. Taking into account the nature of the Processing and insofar as (i) a data protection impact assessment is required under the Privacy Legislation and (ii) the required information is reasonably available to ResultX and the Customer does not otherwise have access to the said information, ResultX shall, at the request of the Customer, provide reasonable assistance to the Customer in carrying out a data protection impact assessment and any prior consultation with the competent supervisory authorities. To the extent permitted by the Privacy Legislation, the Customer is responsible for all costs arising from the assistance provided by ResultX.

12.1 The total term of this DPP is equal to the term of the Agreement. If no term is determined, this DPP shall remain in force as long as the Service has not been terminated.
13 RETURN AND DELETION OF PERSONAL DATA

14.2.3 The Customer will impose sufficient confidentiality obligations on its (internal/external) auditors. In order to safeguard the confidentiality of other customers of ResultX, ResultX has the right to require the Customer and its auditors to sign a confidentiality agreement before the inspection starts and to limit the scope of the inspection or the Customer’s access to certain premises.

If the parties do not reach agreement, the competent court may mitigate the invalid provision to what is (legally) permitted.
